Terms of Service

These Terms of Service (“Terms”) govern your access to and use of BidStride, operated by PromptCritical LLC (“Company,” “we,” “our”). By creating an account or using BidStride you agree to be bound by these Terms. If you do not agree, do not use the service.
1. Description of Service
BidStride is a software-as-a-service platform that aggregates government contract opportunities from public sources (including SAM.gov, USASpending.gov, and state/local procurement portals), matches them to your company profile, and provides relevance scoring and bid/no-bid analysis tools. BidStride is an information and research tool — it does not submit bids, proposals, or certifications on your behalf.
2. Accounts
- You must provide accurate information when creating your account and keep it up to date.
- You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.
- You must be at least 18 years old and have authority to bind the business entity you represent.
- One account per person. Do not share accounts or create multiple accounts for the same individual.
3. Acceptable Use
You agree not to:
- Use BidStride for any unlawful purpose or in violation of applicable law.
- Scrape, harvest, or systematically extract data from the platform using automated means not authorized by us.
- Reverse engineer, decompile, or attempt to extract source code from BidStride.
- Resell, sublicense, or provide third-party access to the service without our written permission.
- Submit false or misleading information in your contractor profile.
4. Billing and Payments
- Paid plans are billed monthly in advance through Stripe. Prices are listed on the pricing page and subject to change with 30 days' notice.
- You authorize us to charge your payment method on file for recurring subscription fees.
- Subscriptions automatically renew each billing period unless you cancel before the renewal date.
- Cancellations take effect at the end of the current billing period. We do not issue pro-rated refunds for partial periods, except where required by applicable law.
- If a payment fails we will notify you and may suspend access to paid features until payment is resolved.
5. Not Legal Advice
BidStride provides opportunity research, scoring, and analysis tools — it does not provide legal, regulatory, or procurement advice. Nothing in the service constitutes advice from an attorney, compliance officer, or procurement specialist. You are solely responsible for verifying eligibility for any solicitation, ensuring your bid complies with FAR/DFARS and all applicable regulations, and obtaining independent professional advice for significant procurements. The Company is not a law firm and using BidStride does not create an attorney-client relationship.
6. Intellectual Property
BidStride and its original content, features, and functionality are owned by PromptCritical LLC and protected by intellectual property law. The underlying government solicitation data we surface is drawn from public sources. You retain ownership of your contractor profile data and any content you upload.
7. Disclaimer of Warranties
BidStride is provided “as is” and “as available” without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that opportunity data is complete or current. Government data sources may delay, modify, or remove postings without notice.
8. Limitation of Liability
To the maximum extent permitted by law, PromptCritical LLC and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost revenue, lost contracts, or lost profits — arising from your use of BidStride, even if we have been advised of the possibility of such damages. Our total cumulative liability for any claim arising under these Terms shall not exceed the amounts you paid us in the 12 months preceding the claim.
9. Indemnification
You agree to indemnify and hold harmless PromptCritical LLC from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of BidStride, your violation of these Terms, or your infringement of any third-party rights.
10. Termination
We may suspend or terminate your account at any time for material violation of these Terms, fraudulent activity, or non-payment, with or without notice. You may cancel your account at any time from your billing settings. Upon termination, Sections 5, 7, 8, 9, 11, and 12 survive.
11. Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or BidStride shall be resolved exclusively in the state or federal courts located in New York County, New York, and you consent to personal jurisdiction in those courts.
12. Changes to These Terms
We may revise these Terms from time to time. When we do, we will update the effective date above and notify you by email or in the application. Continued use of BidStride after the effective date of revised Terms constitutes your acceptance.
